Affiliate Program Terms

1. Acceptance of These Terms

These Affiliate Program Terms (the "Affiliate Terms") govern your participation in the AdWhiz affiliate program (the "Program"). By joining the Program, promoting AdWhiz under a referral link, or accepting any commission from us, you agree to these Affiliate Terms.

These Affiliate Terms are in addition to our Terms of Service and Privacy Policy. Where these Affiliate Terms conflict with marketing material describing the Program, these Affiliate Terms control.

2. Eligibility and Your Affiliate Account

You must be at least 18 years old and legally able to enter into a binding contract. Enrolment is open and does not require prior approval, but we may decline, suspend, or remove any affiliate at our discretion.

One account per person or legal entity. You may not operate multiple affiliate accounts, register accounts under other people's names, or transfer or sell your affiliate account. Where we determine that several accounts are controlled by the same person or entity, we may merge them, withhold commissions, or close them.

You are responsible for the accuracy of the payout and tax details on your account, and for keeping your login credentials secure.

3. Commission Rates and Tiers

Commission is paid as a percentage of the net subscription revenue we actually collect from customers you refer, for as long as those customers remain subscribed. One-time purchases, such as audit reports, earn commission on the amount collected.

Your rate depends on how many paying customers you have personally referred:

• 0–9 referred customers — 20%
• 10 or more referred customers — 30%
• 50 or more referred customers — 50%
• 100 or more referred customers — 70%

Rate changes take effect once the threshold is reached and apply to your referrals from that point on, as reflected in your affiliate dashboard.

Commission is calculated on net revenue — after discounts, credits, refunds, chargebacks, and payment-processing fees. It is not paid on taxes, on free-trial periods, or on any period a customer was not charged.

4. Referral Tracking and Attribution

Referrals are tracked by the unique referral link issued to you. A referral cookie lasts 60 days from the click. Where a visitor has clicked more than one affiliate link, the most recent link clicked within the cookie window receives the credit.

You may append a Sub-ID to your referral link to distinguish your own traffic sources. Sub-ID reporting is visible in your affiliate dashboard and is provided for your own analytics; it does not create any additional entitlement to commission, and it does not make the Sub-ID holder a party to the Program.

We do not guarantee that every referral will be tracked. Ad blockers, privacy browsers, cookie clearing, and customers switching devices can all break attribution. Tracking recorded in our affiliate platform is the sole basis for commission, and our records are final absent manifest error.

5. No Sub-Affiliates or Referral Networks

The Program is a direct, one-to-one relationship between AdWhiz and each individual affiliate. We do not operate a multi-level, sub-affiliate, or downline program.

You may not:

• recruit or manage other promoters who work under your affiliate account or use your referral link;
• share, resell, syndicate, or sub-license your referral link so that third parties promote under your account;
• pay, rebate, or share your commission with third parties in exchange for referrals made through your link; or
• present yourself as able to enrol, approve, or pay other AdWhiz affiliates.

Anyone you would otherwise recruit is welcome to join the Program directly. Enrolment is free and requires no approval, and each affiliate earns and is paid on their own referrals under their own account. Commissions accrued in breach of this section may be reversed in full.

6. No Self-Referrals or Related-Party Referrals

You may not earn commission on your own purchases, or on purchases made by anyone acting on your behalf. This includes subscriptions bought by you, by your employees or contractors, by businesses you own or control, by household or family members, or through accounts, cards, or addresses associated with you.

We run automated and manual checks for self-referral patterns. Where a referral is identified as a self-referral or related-party referral, the commission will be denied. Repeated or deliberate attempts are grounds for immediate termination and forfeiture of the entire outstanding balance.

7. Prohibited Promotion Practices

You may not:

• bid on "AdWhiz" or confusingly similar terms, or on our brand plus a modifier, in any paid search or paid social auction, or use our brand in ad copy or display URLs;
• register domains, subdomains, social handles, or app listings that contain or imitate our brand, or build pages that could be mistaken for an official AdWhiz property;
• send unsolicited bulk email, SMS, or direct messages, or post your referral link as spam in forums, comment sections, reviews, issue trackers, or communities that prohibit it;
• use cookie stuffing, forced clicks, iframes, pop-unders, auto-redirects, typosquatting, browser extensions, or any method that sets a referral cookie without a genuine, intentional click;
• misrepresent the product — including inventing features, guaranteeing advertising results, quoting prices or terms we do not offer, or claiming a partnership, employment, or endorsement that does not exist;
• offer unauthorised cash back, rebates, or incentives in exchange for signing up through your link; or
• promote AdWhiz alongside illegal, deceptive, adult, hateful, or otherwise objectionable content.

Where required by law — including the FTC endorsement guidelines and equivalent rules in your jurisdiction — you must clearly and conspicuously disclose that your links are affiliate links.

8. Commission Approval, Holding, and Reversal

Commissions are recorded as pending when a referred payment is made and become payable only after the underlying payment has cleared and the associated refund and chargeback window has passed.

We may reverse or deny a commission at any time before payout, and may recover an already-paid commission from your future balance, where the underlying payment is refunded, disputed, or charged back; where the customer is found to be fraudulent or duplicate; where the referral breaches these Affiliate Terms; or where the commission was created by a tracking or billing error.

9. Payouts

Payout periods run monthly. Commissions earned in a given calendar month are paid on a Net-30 basis — on the 30th of the following month — provided your matured balance has reached the US$50 minimum threshold. Balances below the threshold roll forward to the next period. Payouts are made in US dollars via PayPal to the payout details on your account.

You are responsible for supplying accurate payout and tax information and for all taxes on your commission income. We may withhold payment where required by law, where your payout or tax details are missing or invalid, or while a referral is under review.

Unclaimed balances on accounts that have been inactive for 12 consecutive months, or where valid payout details have not been supplied despite request, may be forfeited.

10. Relationship of the Parties

You participate in the Program as an independent contractor. Nothing in these Affiliate Terms creates an employment, partnership, joint venture, agency, or franchise relationship. You have no authority to make commitments, offer discounts, accept payments, provide support, or otherwise speak or contract on behalf of AdWhiz, and you must not present yourself as doing so.

11. Suspension, Termination, and Forfeiture

Either party may end participation in the Program at any time and for any reason. You may close your affiliate account by contacting us. We may suspend or terminate your participation, withhold pending commissions during an investigation, and deny commissions arising from the conduct in question, where we reasonably believe these Affiliate Terms have been breached.

On termination you must stop using your referral link and remove AdWhiz branding from your properties. Commissions validly earned and already matured before termination remain payable, except where termination follows fraud, self-referral, or a sub-affiliate arrangement — in which case the outstanding balance may be forfeited in full.

12. Changes to the Program and These Terms

We may change commission rates, tier thresholds, cookie duration, payout terms, or any part of these Affiliate Terms by posting an updated version on this page and updating the "Last updated" date. Changes apply going forward and do not reduce commissions already earned and matured. Continuing to promote AdWhiz after a change constitutes acceptance of it. We may also discontinue the Program entirely, in which case we will pay out matured balances that meet the payout threshold.

13. Governing Law

These Affiliate Terms are governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration.
